Fight Swipe ("Fight Swipe," "we," "us," or "our") is the operator of the online platform available at fightswipe.io, together with all associated features, tools, and services that reference or link to these Terms of Service (the "Terms") (collectively, the "Platform").

What We Do

Fight Swipe is a community-driven matching platform designed for martial arts practitioners — from beginners to seasoned competitors — to discover, connect, and train with partners whose skill level, discipline, and goals align with their own. Our mission is to make the martial arts community more accessible, more connected, and safer by helping practitioners find the right training environment and partners for their individual journey.

Your Agreement

By creating an account, accessing, or otherwise using the Platform — whether on your own behalf or on behalf of another person or organization — you ("User" or "you") acknowledge that you have read, understood, and consent to be legally bound by these Terms in their entirety. IF YOU DO NOT ACCEPT THESE TERMS IN FULL, YOU MUST IMMEDIATELY CEASE USING THE PLATFORM.

Additional policies, guidelines, or rules we publish on the Platform from time to time are incorporated into these Terms by reference and are equally binding. We may update these Terms at our discretion. When we do, we will revise the "Effective Date" above. Your continued use of the Platform after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. We suggest saving or printing a copy for your personal records.

1. The Platform and Its Scope

Fight Swipe is a practitioner-to-practitioner matching platform for the martial arts community. The Platform enables users to create profiles, specify their training background, preferred disciplines, skill levels, and availability, and to discover and connect with other users for training sessions, sparring, and skill development — all within a structured, safety-conscious environment.

The Platform is operated from the United States. We make no representation that the Platform or its content is appropriate, lawful, or available in jurisdictions outside the United States. If you choose to access the Platform from outside the United States, you do so voluntarily and bear sole responsibility for compliance with any applicable local laws and regulations. Nothing on the Platform constitutes an offer or solicitation in any jurisdiction where doing so would be unlawful or require us to comply with registration obligations we have not undertaken.

The Platform is designed for informational and community-connection purposes only. We do not provide coaching, athletic training, medical advice, or professional instruction of any kind. Any training activities arranged through connections made on the Platform are undertaken entirely at the users' own risk and discretion.

2. Ownership of Platform Content and Intellectual Property

Fight Swipe's Proprietary Rights

Fight Swipe owns or holds valid licenses to all intellectual property embodied in or forming part of the Platform. This includes, without limitation, the Platform's underlying code and software architecture, database structures, design elements, visual assets, written content, logos, trademarks, service marks, and any audio or video materials (collectively, "Platform Content" and "Marks").

Platform Content and Marks are protected under United States and international copyright, trademark, and other intellectual property laws, as well as applicable trade secret and unfair competition statutes.

Access to Platform Content through the Platform is provided "as-is" and solely for your personal, non-commercial use, or for your legitimate internal business purposes.

License to Use the Platform

Conditioned on your full compliance with these Terms — including the conduct standards set forth in Section 6 — Fight Swipe grants you a limited, non-exclusive, non-transferable, revocable license to:

access and use the Platform for its intended purpose; and
download or print Platform Content solely for your personal, non-commercial reference.

This license does not permit you to reproduce, copy, aggregate, redistribute, republish, publicly perform, publicly display, transmit, sell, or commercially exploit any Platform Content or Marks, in whole or in part, without our prior written authorization.

Requests for permission to use Platform Content or Marks beyond the scope of this license should be directed to contact@support.fightswipe.io. Any authorized use of our Platform Content must include a clear attribution identifying Fight Swipe as the owner or licensor and must display all applicable copyright and proprietary notices.

All rights not expressly granted in these Terms remain reserved by Fight Swipe. Any unauthorized use of Platform Content or Marks constitutes a material breach of these Terms and will result in the immediate termination of your license to use the Platform.

User Submissions and Platform Contributions

Feedback and Suggestions ("Submissions"): When you send us suggestions, questions, ideas, feedback, or other communications regarding the Platform ("Submissions"), you hereby assign to Fight Swipe all intellectual property rights in and to such Submissions. Fight Swipe will own such Submissions outright and may use them for any lawful purpose — commercial or otherwise — without compensation or attribution to you.

User Contributions: The Platform may offer features through which you can create, post, publish, transmit, or otherwise share content — including profile information, written posts, images, video clips, comments, ratings, or other materials — with other users or the public (collectively, "Contributions"). For clarity, any publicly posted Submission is also treated as a Contribution.

You acknowledge that Contributions you post may be seen by other users of the Platform and, in some cases, by visitors to third-party websites.

License to Your Contributions: By posting a Contribution, you grant Fight Swipe a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, non-exclusive license to use, host, reproduce, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from your Contribution — in whole or in part and in any media format or channel — for any purpose, including commercial and promotional purposes. This license extends to your name, image, likeness, voice, and any trademarks, logos, or other identifiers you include in your Contributions.

Your Responsibilities as a Contributor: By submitting any Contribution, you confirm that you:

have reviewed and agree to comply with Section 6 of these Terms and will not post anything that is unlawful, harassing, hateful, threatening, obscene, discriminatory, defamatory, or otherwise harmful;
waive, to the maximum extent permitted by law, any moral rights you hold in the Contribution;
either created the Contribution entirely yourself or possess all rights, licenses, and permissions necessary to submit it and to grant us the rights described above; and
confirm the Contribution does not contain information that is confidential or proprietary to any third party.

You are solely responsible for all Contributions you submit. You agree to reimburse Fight Swipe for any losses, claims, or expenses — including legal fees — that arise from your breach of this section, any third-party intellectual property rights, or applicable law.

Our Right to Remove Content: Fight Swipe reserves the right — though not the obligation — to review, edit, or remove any Contribution at any time and without notice if we believe, in our reasonable judgment, that it is harmful, violates these Terms, or is otherwise objectionable. Removal of a Contribution may be accompanied by suspension or termination of your account and, where warranted, a report to law enforcement.

Notice of Copyright Concerns

Fight Swipe respects the intellectual property rights of third parties. If you have reason to believe that material on the Platform infringes your copyright, please refer to Section 14 of these Terms for our copyright claim procedure.

3. Accounts and Registration

Access to certain features of the Platform requires you to register for an account. When registering, you must provide accurate, current, and complete information and keep that information updated throughout the life of your account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@support.fightswipe.io if you suspect unauthorized access to or use of your account.

Fight Swipe reserves the right to reject, reclaim, or require a change to any username we find inappropriate, offensive, misleading, or otherwise objectionable — as determined at our sole discretion. If you provide false, inaccurate, or misleading information during registration or at any later point, we may suspend or permanently terminate your account and deny you access to the Platform.

The Platform is open to users of all ages, including individuals under the age of 18 ("Minors"). However, the following requirements apply to Minor users:

Parental or Guardian Consent Required. If you are under 18 years of age, you may only register for and use the Platform with the verifiable consent of a parent or legal guardian (the "Consenting Adult"). By completing registration on behalf of a Minor, the Consenting Adult agrees to be fully bound by these Terms and accepts responsibility for the Minor's use of the Platform, including all activity that occurs under the Minor's account.

COPPA Compliance. We do not knowingly collect personal information from children under the age of 13 without verifiable parental consent as required by the Children's Online Privacy Protection Act ("COPPA"). If you are under 13, you must have your parent or guardian register on your behalf and provide their explicit consent. If we learn that we have collected personal information from a child under 13 without appropriate parental consent, we will promptly delete that information. Parents or guardians who believe their child under 13 has provided us with personal information without consent should contact us at contact@support.fightswipe.io.

Supervision. Parents and guardians of Minor users are encouraged to actively supervise their child's use of the Platform, including all in-person training or sparring arrangements made through Platform connections.

Fitness for Physical Activity. By permitting a Minor to use the Platform, the Consenting Adult represents that the Minor is physically fit for the martial arts activities in which they intend to participate and has, where appropriate, been evaluated by a qualified medical professional.

5. User Representations and Warranties

Each time you access or use the Platform, you represent and warrant to Fight Swipe that:

you possess the legal capacity to enter into a binding agreement and agree to be bound by these Terms;
if you are a Minor, your Consenting Adult has provided the required consent described in Section 4;
you will access the Platform only through lawful, human means — not through bots, scripts, automated tools, or other non-human methods;
your use of the Platform will not violate any applicable federal, state, local, or international law or regulation; and
all information you provide to us is truthful, current, and accurate.

6. Conduct Standards and Prohibited Uses

The Platform is provided solely for the purposes described in these Terms. Commercial use of the Platform is permitted only to the extent we have explicitly authorized it in writing. You may not exploit the Platform for any other commercial purpose.

By using the Platform, you agree that you will not:

scrape, crawl, harvest, or systematically extract data or content from the Platform for any purpose — including to build competing databases, directories, or applications — without our written permission;
impersonate any person or entity, misrepresent your affiliation with any person or entity, or use another user's account credentials or username;
deceive, defraud, or manipulate other users or Fight Swipe staff, including through false match requests or fabricated training credentials;
interfere with, damage, or circumvent any security, access-control, or technical protection features of the Platform;
introduce or transmit malicious code, viruses, malware, spyware, or any other harmful software or content to the Platform or its users;
employ automated systems — including scrapers, spiders, bots, or data-extraction tools — in connection with the Platform, except as expressly permitted in writing;
remove, obscure, or alter any copyright notice, trademark, or other proprietary designation on any Platform Content;
use the Platform to harass, stalk, threaten, intimidate, or harm any individual, or to arrange physical encounters intended to cause harm;
transmit unsolicited commercial communications, including spam, chain messages, or unauthorized promotional materials;
engage in unauthorized framing of or linking to the Platform;
attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of any software underlying the Platform, except as expressly permitted by applicable law;
deploy any passive or active tracking mechanisms — including tracking pixels, web beacons, or similar tools — without our prior written consent;
use the Platform to advertise, sell, or promote goods or services not authorized by Fight Swipe;
transfer or sell your account, profile, or Platform access to any other person;
use the Platform to facilitate any illegal activity, including but not limited to unlicensed commercial fighting events, unlawful wagering, or exploitation of minors; or
use the Platform in connection with any activity intended to compete with Fight Swipe's business.

7. User-Generated Content

Fight Swipe may enable users to post, publish, upload, transmit, or share content on or through the Platform, including profile descriptions, training videos, photographs, written posts, comments, ratings, and other materials (collectively, "User Content"). User Content you submit may be visible to other users and, in some circumstances, the general public.

By submitting User Content, you represent and warrant that:

your User Content does not infringe upon, misappropriate, or violate the copyright, trademark, trade secret, patent, or moral rights of any third party;
you are the original author or creator of the User Content, or you hold all licenses, consents, and permissions required to post it and to grant Fight Swipe the rights described in these Terms;
where your User Content depicts or names a real, identifiable individual (other than yourself), you have obtained that person's written consent to use their name, image, or likeness in the manner contemplated by these Terms;
your User Content is truthful and not misleading;
your User Content does not constitute spam, unauthorized advertising, pyramid schemes, or other unsolicited solicitations;
your User Content does not contain content that is obscene, sexually explicit, abusive, defamatory, or otherwise objectionable;
your User Content does not ridicule, demean, or threaten any individual or group;
your User Content does not promote or incite violence against any specific person or group of people;
your User Content complies with all applicable laws and does not violate anyone's right of privacy or publicity;
your User Content does not contain or link to material that sexually exploits, endangers, or targets minors; and
your User Content does not include unlawful discriminatory content relating to race, ethnicity, religion, gender, sexual orientation, national origin, age, disability, or other protected characteristics.

Violations of these standards may result in the removal of your User Content and the suspension or termination of your account.

8. License Grant for User Content

By submitting User Content to the Platform, you grant Fight Swipe a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully sublicensable, transferable license to host, store, reproduce, adapt, modify, create derivative works from, publish, publicly perform, publicly display, distribute, and otherwise use your User Content across any media formats and channels — including for commercial and promotional purposes. This license covers your name, image, likeness, voice, and any trademarks or logos you include in your User Content.

This license applies to all forms and technologies now existing or developed in the future. Fight Swipe does not claim ownership of your User Content. You retain all underlying ownership rights and any intellectual property rights associated with your User Content. However, you waive any moral rights you may hold in your User Content, and you confirm that no moral rights have been asserted by any third party with respect to it.

Fight Swipe is not responsible for statements made in User Content posted by users and accepts no liability for the accuracy or legality of such content. You are solely responsible for your User Content and agree to hold Fight Swipe harmless from any claims, losses, or liability arising from it.

Fight Swipe may, in its sole discretion, edit, reclassify, or remove any User Content at any time and for any reason, without notice or liability to you. Fight Swipe has no obligation to proactively review or monitor User Content.

9. Ratings and Reviews

Fight Swipe may provide a feature that allows users to rate or review other users based on training sessions arranged through the Platform. If you use this feature, you agree to the following standards:

Reviews must be based on your actual, firsthand experience with the person being reviewed.
Reviews must not contain profane, abusive, hateful, or discriminatory language.
Reviews must not reference illegal activity or contain false statements of fact.
Reviews must not be posted by a person who has a competitive or retaliatory motive.
You may not draw legal conclusions about another user's conduct in a review.
You may not organize, incentivize, or solicit coordinated review campaigns, whether positive or negative.

Fight Swipe may publish, decline, or remove any review in its sole discretion. We do not endorse any review or represent that reviews reflect our views or those of our affiliates. We assume no liability for any claims or damages resulting from any review. By submitting a review, you grant Fight Swipe a worldwide, perpetual, royalty-free, fully sublicensable, non-exclusive license to reproduce, modify, translate, distribute, display, and otherwise use the content of that review for any lawful purpose.

10. External Links and Third-Party Resources

The Platform may contain hyperlinks to websites operated by third parties ("External Sites") and may display or make available third-party content, including articles, media, applications, or software ("Third-Party Content"). Fight Swipe does not control, endorse, investigate, or accept responsibility for any External Sites or Third-Party Content. We make no representations regarding their accuracy, completeness, legality, or suitability.

If you choose to access External Sites or use Third-Party Content, you do so at your own risk. These Terms will not govern your activity on External Sites — you should review their own terms of service and privacy policies. Fight Swipe is not a party to, and accepts no responsibility for, any transactions you conduct through External Sites. You agree to release and hold Fight Swipe harmless from any loss, claim, or liability arising from your use of External Sites or Third-Party Content.

11. Physical Activity and Assumption of Risk

Important Notice Regarding Martial Arts Activities

Fight Swipe is a connection platform. We do not supervise, organize, officiate, or participate in any training sessions, sparring matches, or other physical activities arranged through connections made on the Platform. All in-person activities are conducted independently by users.

Voluntary Assumption of Risk. Martial arts and combat sports involve inherent physical risks, including the risk of injury, serious bodily harm, or death. By using the Platform to arrange in-person training or sparring, you voluntarily assume all risks associated with participating in such activities.

No Medical Advice. Nothing on the Platform constitutes medical, fitness, or training advice. You are solely responsible for consulting qualified medical and fitness professionals before undertaking any new physical activity.

User Safety. Fight Swipe encourages users to take reasonable precautions when meeting individuals they connect with through the Platform, including meeting initially in public spaces, verifying identities, training at established facilities, and informing trusted contacts of their plans.

Release. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE FIGHT SWIPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DAMAGES, OR LIABILITY ARISING FROM OR CONNECTED TO ANY PHYSICAL ACTIVITIES OR IN-PERSON INTERACTIONS ARRANGED THROUGH THE PLATFORM.

12. Platform Administration

Fight Swipe reserves the right — without assuming any obligation — to:

monitor the Platform for violations of these Terms or applicable law;
investigate suspected violations and take appropriate action, including removing content, restricting or terminating accounts, and referring matters to law enforcement;
restrict, limit, or disable access to any User Content or account features at our discretion;
remove or disable any content that is excessive in size, places an unreasonable burden on our systems, or is otherwise operationally problematic; and
take any other steps we deem reasonably necessary to protect the integrity and performance of the Platform and the safety of our users.

13. Your Privacy and Personal Data

Fight Swipe is committed to protecting the privacy of all users, including minors. Our Privacy Policy, available at fightswipe.io/policies/privacy, describes in detail how we collect, use, share, and protect personal data — including names, contact information, training preferences, and data relating to Minor users. By using the Platform, you agree to the terms of our Privacy Policy, which is incorporated into these Terms by reference.

The Platform is hosted and operated in the United States. If you access the Platform from a jurisdiction whose laws governing the collection, use, and disclosure of personal data differ from U.S. law — including the European Union's General Data Protection Regulation ("GDPR") or other applicable privacy frameworks — your continued use of the Platform constitutes your informed consent to the transfer and processing of your personal data in the United States. Where required by law, we will implement appropriate safeguards for such transfers.

California residents are entitled to certain additional rights under the California Consumer Privacy Act ("CCPA"). Please refer to our Privacy Policy and to Section 25 of these Terms for more information.

14. Copyright Claims and DMCA Procedure

Fight Swipe respects the intellectual property rights of content owners. If you have a good-faith belief that material appearing on the Platform infringes a copyright that you own or control, please send us a written notification containing:

identification of the copyrighted work you claim has been infringed;
identification of the allegedly infringing material and information sufficient for us to locate it on the Platform;
your contact information, including name, address, telephone number, and email;
a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or applicable law;
a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf; and
your physical or electronic signature.

Please be aware that submitting a materially false copyright notification may expose you to civil liability under applicable law. If you are uncertain whether material on the Platform infringes your copyright, we recommend consulting a qualified intellectual property attorney before submitting a notification.

15. Duration and Termination

These Terms take effect when you first access or use the Platform and remain in effect for as long as you continue to use the Platform or maintain an account.

FIGHT SWIPE RESERVES THE RIGHT, WITHOUT PRIOR NOTICE OR LIABILITY, TO SUSPEND OR PERMANENTLY TERMINATE YOUR ACCESS TO THE PLATFORM — INCLUDING BY BLOCKING YOUR IP ADDRESS OR DEVICE — FOR ANY REASON, INCLUDING YOUR VIOLATION OF THESE TERMS, ANY APPLICABLE LAW OR REGULATION, OR FOR ANY OTHER REASON IN OUR SOLE JUDGMENT. WE MAY ALSO DELETE ANY CONTENT, PROFILE DATA, OR OTHER INFORMATION ASSOCIATED WITH YOUR ACCOUNT AT ANY TIME AND WITHOUT NOTICE.

If your account is suspended or terminated — for any reason — you are prohibited from re-registering under any name, including your own name, a pseudonym, or the name of a third party, without our prior written consent. Fight Swipe further reserves all available legal remedies, including civil, criminal, and injunctive relief.

16. Changes to the Platform

Fight Swipe may alter, update, suspend, or discontinue any aspect of the Platform — including its features, content, and availability — at any time and for any reason, without advance notice and without liability to you or any third party.

We cannot guarantee that the Platform will be available without interruption. Scheduled and unscheduled maintenance, technical failures, and other circumstances may periodically limit or prevent access to the Platform. Fight Swipe accepts no liability for any losses or inconvenience resulting from Platform downtime, interruptions, or discontinuation. Nothing in these Terms creates any obligation on our part to maintain, support, update, or continue operating the Platform.

17. Governing Law

These Terms and any disputes arising from them will be governed by and interpreted under the laws of the State of Oklahoma, without giving effect to any conflict-of-law principles that would require the application of another jurisdiction's laws. Any legal action or proceeding not subject to arbitration under Section 18 shall be brought exclusively in the state or federal courts located in Oklahoma, and you consent to personal jurisdiction in those courts.

18. Dispute Resolution and Arbitration

Good-Faith Negotiation

Before pursuing formal legal proceedings, both parties agree to make a genuine effort to resolve any dispute arising out of or relating to these Terms or your use of the Platform (each, a "Claim") through direct negotiation. To initiate this process, the party with a Claim must deliver written notice describing the Claim and the relief sought to the other party. The parties will then have thirty (30) days from the date of that notice to attempt to resolve the Claim informally before either party may proceed to arbitration.

Binding Arbitration

If the parties are unable to resolve a Claim through good-faith negotiation within the 30-day period, the Claim shall be finally resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as modified by these Terms. The AAA's rules are available at www.adr.org.

The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be Oklahoma City, Oklahoma. All proceedings shall be conducted in English. The arbitrator shall apply Oklahoma substantive law. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You may opt out of arbitration by notifying us in writing at contact@support.fightswipe.io within thirty (30) days of first agreeing to these Terms. If you opt out, disputes will be resolved exclusively in the state or federal courts in Oklahoma as described in Section 17.

No Class Actions

Each party agrees that all Claims must be brought in that party's individual capacity only. To the fullest extent permitted by law: (a) no Claim may be consolidated with any other arbitration or legal proceeding; (b) no Claim may be pursued on a class-action, collective, or representative basis; and (c) no Claim may be brought as a private attorney general action or on behalf of the general public. The arbitrator has no authority to consolidate Claims or preside over any form of class or representative proceeding.

Claims Excluded from Arbitration

Notwithstanding the above, the following Claims are not subject to arbitration or the informal negotiation requirement: (a) Claims relating to the enforcement or validity of either party's intellectual property rights; (b) Claims involving allegations of theft, misappropriation, piracy, unauthorized data access, or invasion of privacy; and (c) requests for emergency injunctive relief. If any portion of this arbitration provision is found unenforceable, that portion shall be severed and the remaining provisions shall remain in full force. Any Claim excluded from arbitration or affected by a finding of unenforceability shall be heard by a court of competent jurisdiction in Oklahoma, and the parties consent to the personal jurisdiction of such court.

19. Accuracy and Corrections

We strive to maintain accurate information on the Platform, but we cannot guarantee that all content is free from errors, omissions, or outdated information. Fight Swipe reserves the right to correct any inaccuracies, errors, or omissions and to update or revise any information on the Platform at any time, without prior notice and without incurring any liability.

20. No Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIGHT SWIPE EXPRESSLY DISCLAIMS ALL WARRANTIES — WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE — INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY OR REPRESENTATION THAT: (1) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (2) THE PLATFORM WILL OPERATE WITHOUT ERROR, INTERRUPTION, OR DOWNTIME; (3) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (4) THE PLATFORM OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; (5) ANY CONTENT OR INFORMATION ON THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT; OR (6) ANY MATCH OR CONNECTION MADE THROUGH THE PLATFORM WILL BE SAFE, SUITABLE, OR FREE FROM RISK.

WE DO NOT ENDORSE, CERTIFY, OR ASSUME RESPONSIBILITY FOR ANY USER, TRAINING PARTNER, INSTRUCTOR, FACILITY, PRODUCT, OR SERVICE REFERENCED ON OR CONNECTED THROUGH THE PLATFORM. FIGHT SWIPE SPECIFICALLY DISCLAIMS ALL LIABILITY FOR INJURY, HARM, OR LOSS RESULTING FROM IN-PERSON MEETINGS, TRAINING SESSIONS, OR SPARRING ARRANGEMENTS MADE THROUGH THE PLATFORM.

SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS MAY NOT APPLY AND YOU MAY HAVE ADDITIONAL RIGHTS.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIGHT SWIPE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR PROPERTY DAMAGE — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, FIGHT SWIPE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU TO FIGHT SWIPE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

CERTAIN LAWS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IF SUCH LAWS APPLY TO YOU, THE ABOVE LIMITATIONS MAY NOT FULLY APPLY, AND YOU MAY BE ENTITLED TO ADDITIONAL REMEDIES.

22. Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Fight Swipe and its officers, directors, employees, agents, affiliates, licensors, successors, and assigns (collectively, "Covered Parties") from and against any and all claims, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable legal fees) brought against any Covered Party by a third party and arising out of or related to:

any User Content or Contributions you submit to the Platform;
your access to or use of the Platform;
your breach of any provision of these Terms;
your breach of any representation or warranty you have made in these Terms;
your infringement of any third-party intellectual property, privacy, or other rights; or
any harmful, violent, or unlawful act you commit toward another user in connection with an introduction or meeting facilitated through the Platform.

Fight Swipe reserves the right to assume sole control over the defense and settlement of any claim subject to indemnification by you, at your expense. You agree to cooperate fully with us in the defense of any such claim. We will make reasonable efforts to inform you of any relevant claim promptly after becoming aware of it.

23. Your Data

Fight Swipe retains data you transmit to the Platform as necessary for Platform operation and performance. While we employ routine backup procedures, you are solely responsible for maintaining your own copies of data you submit to the Platform. Fight Swipe accepts no liability for the loss, corruption, or unauthorized access of any data you transmit, and you waive any claims against us arising from such loss or corruption.

24. Digital Communications and Electronic Records

Using the Platform, sending us emails, and submitting online forms all constitute electronic communications. You consent to receive electronic communications from us and agree that all agreements, notices, disclosures, and other communications delivered to you electronically — by email or through the Platform — satisfy any legal requirement that such communications be made in writing.

YOU CONSENT TO THE USE OF ELECTRONIC SIGNATURES AND AGREE THAT ELECTRONIC CONTRACTS, RECORDS, NOTICES, AND TRANSACTIONS INITIATED OR COMPLETED THROUGH THE PLATFORM HAVE THE SAME LEGAL VALIDITY AND ENFORCEABILITY AS WRITTEN, SIGNED ORIGINALS. YOU WAIVE ANY RIGHTS OR REQUIREMENTS UNDER ANY STATUTE, REGULATION, OR RULE THAT REQUIRE AN ORIGINAL HANDWRITTEN SIGNATURE, PHYSICAL DOCUMENT DELIVERY, OR NON-ELECTRONIC RECORD RETENTION.

26. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any other guidelines or policies we publish on the Platform, represent the complete and exclusive agreement between you and Fight Swipe regarding your use of the Platform and supersede all prior discussions, representations, or agreements on the same subject.

No Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Fight Swipe retains all rights even if not exercised immediately.

Severability. If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, or severed entirely if modification is not possible. The remaining provisions will continue in full force and effect.

Assignment. Fight Swipe may assign or transfer its rights and obligations under these Terms to any party at any time without notice to you. You may not assign your rights or obligations under these Terms without our prior written consent.

Force Majeure. Fight Swipe will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, infrastructure failures, or other events outside our control.

No Special Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment, or franchise relationship between you and Fight Swipe.

Construction. These Terms shall not be construed against Fight Swipe solely because Fight Swipe drafted them. You acknowledge that you had the opportunity to review these Terms and seek independent legal advice before agreeing to them.

Electronic Formation. You waive any defense based solely on the electronic nature of these Terms or the absence of handwritten signatures from the parties.
